Private Funds & Investment Management Associate Attorney

Job Overview:

A prominent law firm based in New York City, NY is seeking a mid-level attorney with demonstrated expertise in private investment funds and asset management. This opportunity, offered exclusively through our legal recruitment team, allows legal professionals to work on high-profile fund formation matters and advise a diverse array of institutional clients.

Duties:

  • Advise asset managers on the structuring, formation, and operation of private investment funds across a broad spectrum of asset classes

  • Draft and negotiate offering documents, partnership agreements, side letters, and related fund documentation

  • Guide regulatory compliance and legal obligations related to investment management activities

  • Support clients in secondary transactions, fund restructurings, co-investments, and other complex transactions

  • Coordinate with tax, ERISA, and other specialty teams on multi-disciplinary matters

  • Maintain strong client relationships and play an active role in business development initiatives

Requirements:

  • 4-6 years of post-JD experience working on private fund formation and management

  • Experience with both domestic and international fund structures

  • Solid understanding of relevant regulatory regimes, including the Investment Advisers Act and other applicable securities laws

  • Adept at handling complex legal and business issues with minimal supervision

  • Previous large law firm or elite boutique experience preferred

Education:

  • Juris Doctor (JD) degree from an accredited law school

Certifications:

  • Active membership in the New York State Bar (or eligibility for admission)

Skills:

  • Exceptional drafting, negotiation, and communication skills

  • Ability to manage multiple client matters and meet tight deadlines

  • Strong analytical reasoning and attention to detail

  • Collaborative mindset and ability to work effectively in team-based environments

  • Strategic thinking paired with a practical, solution-oriented approach
