Emerging Companies and Venture Capital (ECVC) Principal Attorney

Job Overview:
A respected law firm located in New York City, NY, seeks an experienced ECVC Principal Attorney to join its dynamic Business Group. This opportunity offers a robust bi-coastal platform to foster and expand a diverse business and corporate client base. The role involves providing strategic, hands-on counseling to existing clients ranging from early-stage ventures to established businesses and leading complex capital raising and transactional matters across numerous industries. The position promotes cross-office collaboration with a team of talented legal professionals and supports engagement in pro bono initiatives and efforts to foster diversity, equity, and inclusion within the firm.

Duties:

  • Advise early-stage and emerging businesses on corporate governance and strategic growth initiatives

  • Structure and negotiate private offerings, equity and debt financings, and venture capital transactions

  • Support clients through capital raises from friends and family, angel investors, syndicates, banks, and venture funds

  • Manage corporate governance, securities compliance, and business structuring for private and public entities

  • Lead and oversee mergers, acquisitions, and general business transactions

  • Collaborate closely with attorneys across multiple offices to deliver comprehensive client solutions

  • Provide mentorship and leadership within the Business Group

  • Participate in pro bono matters and firm-wide diversity and inclusion initiatives

Requirements:

  • Minimum of 7 years of experience advising early-stage companies and emerging brands

  • Demonstrated success in capital raising, private placements, d,ebt and equity financings

  • Experience with public company matters, capital markets, securities, and M&A strongly preferred

  • Active license to practice law and in good standing

  • Strong academic background with excellent analytical and writing abilities

  • Demonstrated commitment to exceptional client service and effective communication

  • Ability to handle multiple projects and responsibilities independently and as part of a collaborative team

  • Attention to detail and strong organizational skills

  • A partial portable book of business is required

Education:

  • Juris Doctor (JD) degree from an ABA-accredited law school

Certifications:

  • Admission to the NY Bar and license to practice law in the relevant jurisdiction

Skills:

  • Expertise in early-stage company counseling and venture financing

  • Proficiency in corporate governance, transactional leadership, and securities law

  • Exceptional negotiation, drafting, and client management skills

  • Ability to foster client relationships and generate business development opportunities

  • Strong interpersonal skills with the ability to thrive in a team-driven environment
