Job Overview:
A reputable law firm is seeking a highly skilled Project Development Associate with 3-6 years of transactional experience in energy and infrastructure project development. The ideal candidate will have expertise in project finance, joint ventures, and complex commercial agreements. The role involves collaborating with multi-disciplinary teams, drafting and negotiating agreements, supporting project financings and acquisitions, and advising on M&A processes and due diligence exercises. Experience with tax equity transactions is a plus. The associate will work closely with senior partners and clients, taking a lead role in sophisticated transactions.

Location:

  • Houston, Texas

Duties:

  • Draft and negotiate complex commercial agreements related to energy and infrastructure projects.
  • Support project financings, acquisitions, and joint ventures.
  • Collaborate with multi-disciplinary teams on project development and execution.
  • Lead M&A due diligence exercises involving energy and infrastructure assets.
  • Advise clients on deal structuring and strategic considerations.
  • Take a lead role in managing transactional matters and client relationships.
  • Assist with tax equity transactions as needed.

Requirements:

  • 3-6 years of relevant experience in energy and infrastructure project development (preferably classes 2019-2022).
  • Significant experience in drafting and negotiating complex commercial agreements.
  • Familiarity with project finance and joint ventures.
  • Strong understanding of M&A processes, particularly due diligence involving energy and infrastructure assets.
  • Knowledge of tax equity transactions is a plus.
  • Proven ability to handle sophisticated transactions and manage client expectations.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Active Bar membership in Texas (or ability to waive into the Texas Bar).

Skills:

  • Strong drafting, negotiation, and communication skills.
  • In-depth knowledge of energy and infrastructure project development.
  • Experience with M&A due diligence and deal structuring.
  • Ability to work with cross-functional teams and manage complex transactions.
  • Proficiency in handling project finance and joint venture agreements.
  • Familiarity with tax equity transactions (preferred).
