Job Overview:

A mid-sized law firm with a strong transactional and real estate practice is seeking a Real Estate & Transactional Associate Attorney for its Dallas office. The ideal candidate will have 5–7 years of relevant experience in handling complex business transactions, including M&A, corporate governance, finance, and real estate matters. This position offers significant client interaction, autonomy in deal execution, and the opportunity to work on a broad range of business and real estate matters in a collaborative legal environment.

Location:

  • Dallas, TX

Duties:

  • Manage and negotiate commercial real estate transactions and related agreements

  • Handle corporate transactions including mergers and acquisitions, business structuring, and governance

  • Draft and review financing and lending agreements for borrowers and lenders

  • Prepare a wide range of legal documents including purchase agreements, operating agreements, and corporate resolutions

  • Provide legal guidance in connection with business planning and entity formation

  • Advise clients on risk assessment, regulatory compliance, and deal structure

  • Maintain direct and professional communication with clients and other stakeholders

  • Collaborate with internal legal teams and external parties to close transactions efficiently

Requirements:

  • 5–7 years of transactional law experience, with a focus on real estate and business law

  • Significant experience handling deal negotiations, corporate structuring, and finance matters

  • Proven ability to manage multiple projects simultaneously and meet deadlines

  • Comfort with high-level client interaction and responsibility for deal execution

Education:

  • Juris Doctor (J.D.) from an accredited U.S. law school

Certifications:

  • Active and in good standing with the Texas State Bar

Skills:

  • Strong drafting and negotiation skills across a variety of transactional documents

  • Ability to provide practical, solution-oriented legal advice to business clients

  • Excellent written and oral communication skills

  • High attention to detail and strong organizational abilities

  • Self-motivated, proactive, and capable of working independently

  • Confident in client-facing interactions and complex deal discussions
