Job Overview:
A prominent law firm based in Charlotte, NC, is seeking an experienced associate attorney to join its thriving Investment Funds practice. This role offers the opportunity to work on a diverse range of fund types and structures alongside a multidisciplinary team that advises a wide spectrum of alternative investment clients. The position is suited for a legal professional with an entrepreneurial mindset and strong interpersonal skills who is prepared to engage directly with clients and support business development initiatives.

Duties:

  • Assist with the formation, structuring, and ongoing operations of investment vehicles, including private equity, hedge, real estate, hybrid, and venture capital funds

  • Guide regulatory compliance and governance matters related to investment management

  • Draft and negotiate fund formation documents, offering materials, and investor agreements

  • Advise clients on issues involving closed-end funds, interval funds, and business development companies (BDCs)

  • Collaborate with partners and cross-functional teams on high-value transactions and ongoing fund management issues

  • Engage directly with clients to provide responsive and strategic legal solutions

  • Contribute to client development and firm visibility through networking and thought leadership

Requirements:

  • 4-6 years of substantive legal experience in investment management and fund formation

  • Demonstrated understanding of the Investment Advisers Act of 1940 and related securities regulations

  • Proficiency with drafting complex fund documentation and negotiating investor-side letters

  • Ability to work independently and collaboratively in a fast-paced, client-driven environment

  • Strong verbal and written communication skills with attention to detail

Education:

  • Juris Doctor (J.D.) from an accredited U.S. law school

Certifications:

  • Active membership in good standing with at least one U.S. state bar

  • Eligibility for admission to practice law in North Carolina

Skills:

  • Expertise in structuring a variety of private investment vehicles

  • Familiarity with SEC compliance and registration requirements

  • High level of professionalism and client service orientation

  • Strong business judgment and analytical thinking

  • Effective at managing multiple projects and deadlines concurrently
