A law firm in Chicago is seeking a Junior to Mid-Level Private Funds Associate Attorney with 2-6 years of experience in fund formation and investment adviser work. The ideal candidate will have a strong academic background, excellent communication skills, and a genuine interest in private funds law.

 

Duties:

  • Assist in fund formation and investment adviser work for private fund clients.
  • Draft and review fund agreements, offering memoranda, and related documents.
  • Conduct legal research on private funds law and securities regulations.
  • Provide guidance on entity types from a tax perspective.
  • Understand and apply the fundamentals of Federal securities laws relevant to private fund managers.
  • Gain proficiency in fund economics and draft related language in fund agreements.
  • Communicate effectively with clients and internal teams.
  • Ensure compliance with regulatory requirements and best practices.

 

Requirements:

  • 2-6 years of experience in a large law firm setting.
  • Genuine interest in practicing as a private funds lawyer.
  • Strong academic history.
  • Excellent written and verbal communication skills.
  • Highly detail-oriented.
  • Basic understanding of entity types from a tax perspective.
  • Familiarity with the ’33 Act, ’34 Act, Investment Company Act, and Investment Advisers Act.
  • Admission to practice in the jurisdiction or eligibility for admission.

 

Education:

Juris Doctor (JD) degree from an accredited law school.

 

Certifications:

Admission to practice in the jurisdiction or eligibility for admission.

 

Skills:

  • Experience in fund formation and investment adviser work.
  • Legal research and analytical skills.
  • Proficiency in drafting legal documents.
  • Strong communication and interpersonal skills.
  • Ability to work independently and as part of a team.
