A law firm seeks a skilled Corporate Associate to join its team in Buffalo. This position offers the opportunity to work on a broad spectrum of corporate and commercial law matters, including mergers and acquisitions, business formation, and contract negotiation. The role involves collaboration with experienced professionals to provide tailored legal solutions to clients.

Duties

  • Provide legal support across various aspects of corporate and commercial law.
  • Draft, review, and revise legal documents, including shareholder agreements, operating agreements, M&A contracts, and commercial contracts.
  • Collaborate with the team to counsel clients on corporate matters such as business transactions, shareholder agreements, and financing arrangements.
  • Ensure corporate policies and procedures align with legal, regulatory, and ethical standards.
  • Conduct thorough legal research on corporate governance and compliance topics.

Requirements

  • 2 to 3 years of experience in corporate law, including M&A, commercial transactions, and general business agreements.
  • Strong written and verbal communication skills.
  • Demonstrated ability to collaborate effectively with multidisciplinary teams.
  • Solid understanding of corporate compliance and regulatory frameworks.

Education

  • Juris Doctor (JD) degree from an accredited law school.

Certifications

  • Licensed to practice law and in good standing within the relevant jurisdiction.

  • Proficiency in drafting and negotiating corporate documents.
  • Analytical skills for evaluating complex business transactions.
  • Excellent organizational and time management abilities.
