Job Overview

A global law firm is seeking a mid-level Associate Attorney to join its high-profile Debt Finance Practice within the Americas region. This position provides an exciting opportunity to work on complex domestic and cross-border financing transactions across a range of industries. The ideal candidate will have at least four years of experience in debt finance and demonstrate strong leadership, drafting, and communication skills. This role includes direct client interaction, management of multi-jurisdictional deal teams, and active participation in all phases of finance transactions.

Duties

  • Draft, review, and negotiate commitment letters, term sheets, loan agreements, security documents, and other related financing documents

  • Serve as primary point of contact for clients, opposing counsel, and other transactional parties

  • Manage transaction processes from initial structuring through closing and post-closing activities

  • Conduct and coordinate due diligence reviews

  • Prepare and maintain issues lists, summary grids, and revisions

  • Advise clients on ongoing deal administration including amendments, joinders, interpretive guidance, and collateral matters

  • Support senior attorneys with high-value legal matters and client communications

  • Participate in and lead educational seminars, CLEs, and client development initiatives

  • Mentor and train junior associates and staff

  • Contribute to the firm’s thought leadership in financing and banking law

Requirements

  • Minimum of 4 years of relevant debt finance legal experience

  • Prior exposure to borrower-side transactions, direct lending, sponsored finance, leveraged/acquisition finance, or fund finance

  • Demonstrated ability to manage complex transactions and high-volume workloads

  • Commitment to professional growth and client service excellence

  • Comfort in fast-paced, deadline-driven environments

  • International or cross-border transaction experience is preferred

Education

  • Juris Doctor (JD) from an accredited U.S. law school

  • LLM or foreign equivalent accepted for international candidates

Certifications

  • Admitted to the bar and in good standing in at least one U.S. jurisdiction

  • Eligibility for admission in the state of office location (MA)

Skills

  • Excellent legal drafting, negotiation, and communication skills

  • Strong business and commercial awareness

  • Highly organized with superior time management skills

  • Ability to lead multi-disciplinary and multi-jurisdictional teams

  • Intellectual curiosity and creative problem-solving ability

  • Fluency in English (Spanish fluency is a plus)

  • Proactive and resourceful with a team-oriented mindset
