Job Overview

A law firm seeks a Mid-Level Associate with 4-6 years of experience in executive compensation and employee benefits to join their practice in New York City, NY. The ideal candidate will have a strong background in M&A, private equity, and restructuring transactions, with expertise in executive compensation, employee benefits, and ERISA matters.

Duties

  • Conduct diligence reviews and negotiate transaction agreements.
  • Advise on IRC 280G and executive compensation/equity plans.
  • Work with SEC compensation disclosure rules for U.S. public companies.
  • Provide transactional support for tax-qualified retirement and welfare plans.

Requirements

  • 4-6 years of relevant experience in a law firm setting.
  • Admitted to practice and in good standing in the applicable jurisdiction.

Education

  • Outstanding academic credentials required.

Certifications

  • Admitted to practice law in the relevant jurisdiction.

Skills

  • Strong negotiation and analytical skills.
  • Experience with executive compensation and equity plans.
  • Familiarity with SEC compensation disclosure rules.
