Job Overview: A well-established law firm is seeking a mid-senior-level finance attorney with 4-6 years of experience to join its team in Houston. The ideal candidate will have experience representing commercial banks, private credit lenders, private equity and corporate borrowers, and investors in various debt financing and hybrid investment transactions. This includes senior-secured, junior-secured, mezzanine loans, acquisition financings, and other structured financing and investment deals.

Duties:

  • Represent commercial bank and private credit lenders, private equity and corporate borrowers, and investors in debt financing and hybrid investment transactions.
  • Handle senior-secured, junior-secured, and mezzanine loans, acquisition financings, and other structured financings and investments.
  • Advise clients on financing arrangements, structuring, and negotiating debt transactions.
  • Draft and review complex financing documents.
  • Collaborate with cross-functional teams, including corporate and tax attorneys, to address multifaceted legal issues.
  • Manage client relationships, providing strategic legal guidance.

Requirements:

  • 4-6 years of relevant experience in finance law (preferably 2019-2021).
  • Strong understanding of debt financing and hybrid investment transactions.
  • Proven ability to handle senior-secured, junior-secured, and mezzanine loans.
  • Expertise in acquisition financings and structured investments.
  • Excellent analytical, drafting, and communication skills.
  • Strong client relationship management skills.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Active Bar membership in Texas (or ability to waive into the Texas Bar).

Skills:

  • In-depth knowledge of debt financing and hybrid investment structures.
  • Proficient in drafting and negotiating finance-related documents.
  • Strong understanding of commercial lending, secured transactions, and acquisition financing.
  • Excellent written and verbal communication skills.
  • Ability to handle complex transactions and manage client expectations.
