Job Overview:
A nationally recognized law firm is seeking a Mid-Level Associate to join its Corporate and Private Equity practice. This position is ideal for an attorney with 4–5 years of experience in private equity transactions, particularly in acquisitions and related corporate work. The role offers the opportunity to work within a nationally ranked private equity platform serving a diverse client base, including private equity funds, independent sponsors, and institutional investors. 

Location:

  • Chicago, IL

Duties:

  • Handle all aspects of private equity transactions, including:

    • Leveraged buyouts

    • Growth equity investments

    • Independent sponsor transactions

    • Minority investments and roll-ups

    • Strategic acquisitions of distressed companies

  • Draft, review, and negotiate purchase agreements, operating agreements, and other related documentation

  • Manage deal execution and support senior attorneys in complex transaction structuring

  • Collaborate with cross-office legal teams and interface directly with clients

  • Represent both fund sponsors and limited partners in fund formation and capital deployment

Requirements:

  • 4–5 years of experience in corporate transactions, particularly private equity-related acquisitions

  • Experience with mid-market or large-scale deals involving private investment funds

  • Ability to lead transaction workstreams independently with minimal oversight

  • Excellent drafting, negotiation, and project management skills

  • Strong interest in working within a nationally integrated private equity platform

Education:

  • Juris Doctor (JD) from an accredited U.S. law school

  • Strong academic performance required

Certifications:

  • Active bar admission in Illinois required for the Chicago office

  • Admission in Texas or Pennsylvania may be required for respective offices

  • High attention to detail and accuracy in transactional documentation

  • Effective client management and problem-solving abilities

  • Ability to manage competing priorities and deadlines
