Mid-Level ECVC Associate Attorney

Job Overview:

A prominent law firm located in Washington, DC, seeks a skilled Mid-Level ECVC Associate Attorney to join its dynamic business transactions team. The role offers the opportunity to engage with an array of small to large enterprises across multiple industry sectors. The successful candidate will advise on organizational structuring, governance, and financing strategies and collaborate regularly with talented professionals across multiple offices. The position also offers the chance to contribute to impactful pro bono and diversity initiatives within a supportive and inclusive firm culture.

Duties:

  • Advise businesses on entity formation, structuring, and governance matters.

  • Manage day-to-day corporate legal needs for early-stage and established enterprises.

  • Lead and support private capital raise transactions, including offerings involving friends and family, angel investors, venture capital groups, syndicates, and banking institutions.

  • Assist with matters related to public companies, capital markets activities, and mergers and acquisitions (preferred, but not required).

  • Collaborate closely with multidisciplinary teams across multiple firm offices.

  • Participate in initiatives supporting diversity, equity, inclusion, and pro bono work.

Requirements:

  • Minimum of 3 years of experience handling corporate governance, capital raise transactions, and advising early-stage ventures.

  • Familiarity with private offerings, equity and debt financing, and securities compliance.

  • Additional exposure to public company matters, M&A, and capital markets transactions is considered an asset.

  • Ability to manage multiple projects efficiently and meet client expectations.

  • Exceptional attention to detail and organizational capabilities.

Education:

  • Juris Doctor (JD) degree from an ABA-accredited law school.

Certifications:

  • Active license to practice law and good standing in at least one U.S. jurisdiction.

Skills:

  • Outstanding legal research, writing, and analytical skills.

  • Client-focused attitude with excellent interpersonal and communication abilities.

  • Strong teamwork orientation, supporting collaboration within diverse legal teams.
