Corporate Associate (Private Equity)

Job Overview:
A leading full-service law firm with a strong East Coast and national presence is seeking a mid-level Corporate Associate to join its Private Equity & Finance practice. This role is suited for a legal professional with 3–5 years of experience in investment management, private fund formation, and corporate transactional matters. The ideal candidate will work with a diverse range of clients, including institutional investors, family offices, and investment managers, on complex transactions and regulatory matters. The position offers a hybrid work environment and a clear path for professional development and advancement.

Location:

• Delray Beach, FL

Duties:

• Advise on the formation of open- and closed-end private investment funds

• Counsel clients on investment adviser regulatory compliance

• Draft and negotiate a range of investment and corporate documentation, including:

  • Private placement memoranda (PPMs)

  • Limited liability company (LLC) operating agreements

  • Limited partnership agreements

  • Subscription agreements

  • Side letters

  • Investment management and sub-advisory agreements

• Review investment manager marketing materials and fund disclosures

• Represent institutional investors and family offices in private equity, venture capital, and joint venture transactions

• Assist with mergers and acquisitions and general corporate legal matters

Requirements:

• 3–5 years of experience in investment management and private fund formation

• Strong understanding of corporate transactional practices

• Excellent written and verbal communication skills

• Commitment to high standards of client service and responsiveness

• Ability to work both independently and as part of a collaborative team

• Strong problem-solving skills and attention to detail

• Bar admission in good standing in the jurisdiction of intended practice

Education:

• Juris Doctor (J.D.) degree from an accredited U.S. law school

Certifications:

• Active license to practice law in the applicable U.S. jurisdiction

Skills:

• Proficient in drafting and reviewing complex fund and transactional documents

• Familiar with SEC and investment adviser regulatory frameworks

• Experienced in advising family offices and institutional investors

• Organized and able to manage multiple priorities efficiently

• Strong analytical skills and a business-oriented mindset
