Job Overview:
A nationally respected law firm is seeking a Counsel with 8+ years of experience to join its Pensions, Benefits & Investments practice. This position offers the opportunity to work on a broad range of complex investment-related matters, including private funds across multiple asset classes and public market transactions. The ideal candidate will have experience representing either fund managers or institutional investors and will be capable of managing multiple sophisticated matters with a high degree of autonomy. The position is available across all firm office locations in the United States and offers flexibility along with high-level transactional work.

Location:

  • Phoenix, AZ

Duties:

  • Advise clients on private fund investments, including legal structuring, compliance, and negotiation

  • Represent institutional investors and/or fund managers in fund formation and transactional matters

  • Draft and negotiate fund documents, side letters, and investment agreements

  • Provide legal guidance on public market investments and fiduciary issues

  • Take ownership of significant legal deals and manage projects independently

  • Coordinate with attorneys and professionals across multiple practice groups

  • Ensure all client matters are handled in compliance with regulatory and legal standards

Requirements:

  • Minimum 8 years of legal experience in pensions, benefits, investment, or fund practice areas

  • Proven experience working on complex private fund and public market transactions

  • Ability to manage client relationships and deliver sound legal counsel with minimal supervision

  • Strong organizational and time-management abilities to handle multiple concurrent matters

Education:

  • Juris Doctor (J.D.) from an accredited law school

  • Strong academic credentials preferred

Certifications:

  • Active and in good standing with the Bar in the state of intended office location

Skills:

  • In-depth understanding of fund structures, asset classes, and investment vehicles

  • Skilled in drafting and negotiating complex agreements and transaction documents

  • Strong legal research and analytical thinking abilities

  • Effective communicator with excellent written and verbal presentation skills

  • Team-oriented with the ability to lead or collaborate on high-value client work
