Job Overview:

The role focuses on representing lenders and borrowers in a broad range of debt financing matters, both domestically and internationally. Areas of concentration include private credit transactions, syndicated credit facilities, and growth capital financings. Location:

Duties:

  • Represent clients in a wide variety of financing transactions

  • Handle legal structuring, negotiation, and documentation for private credit and syndicated loan deals

  • Advise borrowers and lenders on growth capital financing arrangements

  • Coordinate across multiple offices on U.S. and cross-border matters

  • Deliver legal counsel that aligns with client business goals

  • Contribute to a collaborative team focused on legal excellence and client service

Requirements:

  • 2–6 years of relevant law firm experience in banking and finance transactions

  • Strong motivation and commitment to high-level client service

  • Must be a member of the bar in at least one U.S. state

  • Must meet practice eligibility requirements for the jurisdiction of employment

Education:

  • Juris Doctor (J.D.) from an ABA-accredited law school

Certifications:

  • Active membership in a U.S. State Bar, in good standing

  • For California-based roles: Must be admitted or eligible pending completion of the California Bar Exam

Skills:

  • Deep understanding of debt financing structures and legal principles

  • Strong drafting and negotiation skills for finance-related agreements

Many of the firm's top clients are investment banks, but, in recent years, the firm has expanded its intellectual property litigation practice. The atmosphere is collegial, but slightly more conservative than most Bay Area firms. Salaries are in line with other top Bay Area firms, and the firm provides a $10,000 bonus for all lawyers who bill at least 1,950 hours, with additional money based on three separate billable hour levels above 1,950.
