Job Overview
A law firm seeks a highly motivated and experienced transactional attorney to join its team in Irvine, CA. This full-time position offers a dynamic work environment with opportunities for professional growth.

Duties

  • Draft and revise commercial leases and purchase and sale agreements.
  • Conduct title and survey reviews and manage closing transactions.
  • Advise on entity formation, joint ventures, and compliance.
  • Prepare and negotiate business and consultant contracts.
  • Draft confidentiality agreements and letters of intent.
  • Manage data rooms and due diligence processes.
  • Negotiate and document third-party financing.
  • Prepare documents for mergers, acquisitions, and reorganizations.
  • Draft legal opinions for real estate closings.
  • Oversee multi-property portfolio closings.

Requirements

  • Admitted to the California State Bar.
  • Over 10 years of experience in commercial real estate transactions, M&A, and corporate law.
  • Proficient in analyzing, negotiating, and drafting legal documents.
  • Ability to manage multiple transactions independently.
  • Strong communication and interpersonal skills.

Preferred Qualifications

  • Experience managing transactions with limited oversight.
  • Leadership skills to mentor junior attorneys and staff.
  • Possession of or potential to develop a portable book of business.
  • Proactive and entrepreneurial approach to legal practice.
  • Experience with new technological tools for transactional work.

Education

  • Juris Doctor (JD) degree.

Certifications

  • California State Bar admission.

Skills

  • Strong drafting and negotiation skills.
  • Ability to work independently and manage multiple transactions.
  • Excellent communication and interpersonal skills.
