Job Overview:
A reputable law firm is seeking an experienced transactional/regulatory attorney with expertise in the 1940 Act, including the Investment Advisers Act (IAA) and Investment Company Act (ICA). This role will focus on market regulation within the corporate practice. The position offers flexibility for both full-time and part-time candidates and presents an excellent opportunity for partner or counsel-level candidates interested in supplementing their book of business. Remote work is available depending on jurisdiction, and the firm is open to candidates from various office locations.

Location:

  • San Francisco, CA

Duties:

  • Provide legal counsel on transactional and regulatory matters related to the 1940 Act, including IAA and ICA.
  • Draft, review, and analyze compliance documents to ensure adherence to the 1940 Act.
  • Manage market regulation tasks and advise clients on complex legal matters in this area.
  • Build and maintain strong client relationships through expert legal advice and proactive support.
  • Keep up to date with regulatory developments and changes in the 1940 Act and related laws.
  • Collaborate with senior partners and colleagues to handle a range of market regulation matters.

Requirements:

  • Substantial experience in regulatory and transactional matters related to the 1940 Act, including IAA and ICA.
  • Experience working for the SEC or a law firm specializing in this area of law is preferred.
  • Ability to independently handle complex legal issues and provide strategic guidance.
  • Strong client management skills and ability to foster long-term relationships.

Education:

  • Juris Doctor (J.D.) from an accredited law school.

Certifications:

  • Admission to the state bar in relevant jurisdiction(s).

Skills:

  • Expertise in the 1940 Act, IAA, and ICA, with in-depth knowledge of market regulations.
  • Strong regulatory compliance and market regulation experience.
  • Excellent written and verbal communication skills.
  • Highly organized with the ability to manage multiple priorities.
  • Ability to work independently and as part of a team in a collaborative environment.
