Job Overview

A law firm seeks a talented attorney with over 3 years of relevant experience to join their Executive Compensation and Governance Practice Group in Cleveland. The ideal candidate will possess strong academic credentials, excellent communication skills, and a passion for sophisticated executive compensation and governance work.

Duties

  • Design and draft short- and long-term incentive plans, including profits interest programs and stock option plans.
  • Draft executive employment, severance, and change-in-control agreements.
  • Advise companies and boards on SEC disclosures related to executive compensation and governance.
  • Handle executive compensation issues in corporate transactions, including mergers and acquisitions.
  • Collaborate across disciplines to provide integrated client service.

Requirements

  • 3+ years of relevant experience in executive compensation or mergers and acquisitions.
  • Strong presentation skills, with the ability to communicate confidently with senior executives and board members.
  • Experience in handling complex executive compensation and governance matters.

Education

  • Juris Doctor (JD) degree from an accredited law school.

Certifications

  • Bar admission in the state of Ohio or eligibility for admission.
