Job Overview:
A top-tier law firm is seeking a Project Finance Associate with 3–6 years of experience in debt project finance and/or tax equity transactions. This position involves significant involvement in the preparation, negotiation, and review of complex financing and tax equity documents, along with due diligence on key project agreements. The ideal candidate is detail-oriented, experienced in transactional matters, and capable of managing complex deal structures across the energy and infrastructure sectors.

Location:

  • New York City, NY

Duties:

  • Draft, review, and negotiate project finance documents including:

    • Credit agreements

    • Intercreditor arrangements

    • Collateral and ancillary financing documents

  • Draft and negotiate tax equity documentation including:

    • Equity capital contribution agreements

    • Membership interest purchase agreements

    • LLC agreements

    • Tax credit purchase agreements

  • Conduct due diligence on key project documents such as:

    • Joint venture agreements

    • Offtake agreements

    • Engineering, Procurement, and Construction (EPC) contracts

    • Operations and Maintenance (O&M) agreements

  • Coordinate closely with clients, lenders, and internal teams to ensure deal execution

  • Assist in structuring and closing complex project finance and tax equity transactions

Requirements:

  • 3–6 years of relevant experience in debt project finance and/or tax equity

  • Deep familiarity with energy, infrastructure, or renewable project documentation

  • Proficient in reviewing and conducting due diligence on a broad range of project-related contracts

  • Experience managing multiple complex matters concurrently

  • Strong interpersonal and communication skills

Education:

  • Juris Doctor (JD) from an accredited law school

Certifications:

  • Licensed to practice law in New York

  • In good standing with the New York State Bar

Skills:

  • Excellent drafting and negotiation skills

  • Advanced understanding of finance and tax equity deal structures

  • Strong project management and organizational abilities

  • Ability to work collaboratively and independently under time-sensitive conditions

  • Commercial awareness and problem-solving mindset
