A law firm in New York City, NY, is seeking a Tax Counsel to join its team. The ideal candidate will have substantial experience in transactional tax work, with meaningful exposure to leveraged finance and capital markets transactions. This role requires excellent oral and written communication skills, a strong academic background, and admission to the New York Bar.

Duties:

  • Provide expert legal counsel on complex transactional tax matters, including structuring and implementing tax-efficient strategies for transactions.
  • Advise clients on tax implications and structuring related to leveraged finance and capital markets transactions.
  • Draft, review, and negotiate tax-related documentation, including opinions, memoranda, and transaction agreements.
  • Conduct thorough tax research and analysis to support transaction structuring and provide strategic advice.
  • Collaborate with clients, financial institutions, and other stakeholders to ensure compliance with tax regulations and optimize tax outcomes.
  • Lead and manage tax aspects of complex transactions, ensuring alignment with client objectives and regulatory requirements.
  • Stay current with changes in tax laws, regulations, and industry trends to provide up-to-date and relevant advice.
  • Mentor and supervise junior attorneys and legal staff, providing guidance on complex tax issues.

Requirements:

  • JD from an accredited law school.
  • Admission to the New York Bar.
  • Substantial experience in transactional tax work, with significant exposure to leveraged finance and capital markets transactions.
  • Strong academic background with a focus on tax law.

Skills:

  • Excellent oral and written communication skills.
  • Strong analytical and problem-solving abilities.
  • Proficiency in drafting and negotiating tax-related legal documents and agreements.
  • In-depth knowledge of tax laws, regulations, and compliance requirements.
  • Experience in structuring and implementing tax-efficient strategies for complex transactions.
  • Ability to manage multiple projects simultaneously and collaborate effectively with various stakeholders.

This firm is high on profits per partner, but low in terms of associate satisfaction. The good news?
