A law firm in Columbus, OH is seeking a Corporate Associate Attorney with 2-8 years of experience in Mergers and Acquisitions, preferably in both private equity and strategic M&A. The ideal candidate must possess excellent academic credentials and strong writing and drafting skills.

 

Duties:

  • Assist clients in various corporate transactions, including mergers, acquisitions, divestitures, and joint ventures.
  • Draft, review, and negotiate transactional documents such as purchase agreements, shareholder agreements, and other related contracts.
  • Conduct due diligence investigations and prepare related reports for corporate transactions.
  • Provide legal advice and strategic guidance to clients on corporate governance matters.
  • Assist in the formation and dissolution of corporate entities, including drafting corporate resolutions and bylaws.
  • Collaborate with senior attorneys and clients to develop and execute corporate strategies.
  • Handle general corporate matters, including compliance, regulatory filings, and corporate restructuring.
  • Stay updated on changes in corporate laws and regulations to ensure compliance and provide guidance to clients.
  • Manage and maintain client relationships through effective communication and legal support.
  • Handle additional corporate legal tasks and projects as assigned.

 

Requirements:

  • Juris Doctor (J.D.) degree from an accredited law school.
  • Active membership in the Bar of Ohio or eligibility for Bar admission via reciprocity.
  • 2-8 years of experience in Mergers and Acquisitions, with a focus on both private equity and strategic M&A.
  • Strong understanding of corporate law, M&A transactions, and corporate governance principles.
  • Excellent academic credentials with a demonstrated track record of success.
  • Exceptional writing and drafting skills for preparing legal documents and transactional agreements.
  • Ability to work effectively in a team environment and collaborate with colleagues and clients.
  • Proficient in conducting due diligence investigations and preparing related reports.
  • Knowledge of regulatory compliance requirements related to corporate transactions.
  • Strong analytical skills with attention to detail in reviewing legal documents and agreements.
  • Effective communication skills for interacting with clients, colleagues, and external parties.
  • Demonstrated ability to handle multiple tasks and prioritize workload to meet deadlines.
