Job Overview

A law firm seeks an experienced SaaS commercial attorney to join its in-house global Risk team in New York, NY. The Commercial Attorney will collaborate with the Assistant General Counsel to manage the drafting, negotiation, and advisory processes for a diverse range of vendor agreements, focusing on software-as-a-service (SaaS) and technology-related contracts. This role requires strong commercial awareness and expertise in data protection and intellectual property law.

Duties

  • Draft, review, and negotiate various commercial contracts, including SaaS subscription agreements and licensing agreements.
  • Ensure compliance with relevant laws and regulations, such as GDPR and CCPA.
  • Collaborate with procurement and other legal teams to execute the firm's contracting strategy.
  • Create and support best practices for procurement and vendor management.
  • Advise business partners and internal stakeholders across the firm.

Requirements

  • 5+ years of commercial contract experience, focusing on technology and SaaS contracts.
  • Experience with international contracts and cross-border legal issues is desirable.
  • Strong written and verbal communication skills.
  • Exceptional commercial sensibilities and attention to detail.
  • Ability to translate complex legal issues into clear advice for non-legal stakeholders.

Education

  • Juris Doctor (JD)

Certifications

  • Active membership in the New York State Bar or qualified in England and Wales.

Skills

  • Familiarity with privacy and security terms (GDPR, CCPA, etc.).
  • Experience with contract lifecycle management systems and legal technology tools.
  • Strong project management capabilities and organizational skills.
