A prestigious law firm in Boston, MA, is seeking a Mergers and Acquisitions Associate Attorney with 2 years of experience to join their dynamic team. The ideal candidate will have a strong background in corporate transactional work, particularly in mergers and acquisitions. This role requires excellent drafting and negotiating skills, the ability to collaborate effectively in a team, and the capacity to independently manage various aspects of deals. The candidate must also be currently licensed to practice law in MA or eligible to obtain licensure in the state.


Duties:

  • Lead and manage the due diligence process for mergers and acquisitions transactions.
  • Draft, review, and negotiate a wide range of transactional documents, including purchase agreements, disclosure schedules, and ancillary agreements.
  • Provide legal counsel and guidance to clients on complex corporate and M&A matters.
  • Conduct legal research and analysis to ensure transactions comply with relevant laws and regulations.
  • Work closely with partners and senior attorneys to develop and execute legal strategies.
  • Supervise and mentor junior associates and support staff as needed.

Requirements:

  • 2 years of direct experience in mergers and acquisitions.
  • A strong understanding of corporate law, contract law, and relevant regulations.
  • Exceptional drafting and negotiation skills with a proven track record of successful deal execution.
  • Ability to work effectively both independently and as part of a collaborative team.
  • Strong project management and organizational skills.
  • Excellent communication and interpersonal skills.
  • Must be currently licensed to practice law in MA or eligible to obtain licensure in the state.

Education:

  • Juris Doctor (JD) from an accredited law school.
  • Admission to the MA State Bar or eligibility for admission.
