Job Overview

A distinguished law firm in San Diego is seeking a seasoned Senior Attorney to enhance its corporate, regulatory, and securities law practice. The role requires a proactive legal professional with a strategic mindset, adept at managing client relationships, and capable of handling complex legal matters in the financial industry.

Duties

  • Provide counsel on corporate transactions, including mergers and acquisitions, contract negotiations, and regulatory compliance.
  • Advise investment advisers, broker-dealers, private fund advisers, and corporations on legal and regulatory matters.
  • Oversee regulatory exams and ensure compliance with SEC and FINRA regulations.
  • Engage in business development activities to expand the firm's client base.
  • Draft and review contracts, investment documents, and legal agreements.
  • Provide legal guidance on business transitions and succession planning.
  • Collaborate with cross-functional teams to manage corporate strategic advisement.

Requirements

  • Minimum of 6-8 years of experience in securities and corporate transactional law.
  • Strong knowledge of the Investment Advisers Act of 1940, FINRA Rules, and the Investment Company Act of 1940.
  • Admitted to practice law in at least one of the following states: CA, TX, AZ, or NV.
  • Proven track record in business development and client relationship management.
  • Experience in regulatory compliance and corporate governance.

Education

  • Juris Doctor (J.D.) from an accredited law school.

Certifications

  • Active Bar membership in CA.
