Job Title: Mid-Level Mergers And Acquisitions Associate Attorney

Job Overview:
A prominent law firm located in Wilmington, DE is seeking a highly motivated mid-level associate attorney (Class of 2021-2018) with a strong background in mergers & acquisitions, corporate transactions, and alternative entity law. The ideal candidate will be involved in advising clients on a variety of transactional and corporate matters, including M&A, recapitalizations, private equity investments, joint ventures, and restructurings. The position offers an opportunity to work closely with experienced attorneys while developing expertise in Delaware law, fiduciary duties, and corporate governance.

Duties:

  • Represent clients in mergers & acquisitions, recapitalizations, private equity deals, joint ventures, and restructurings.
  • Advise on Delaware law aspects of corporate transactions, including fiduciary duties and governance matters.
  • Counsel clients and attorneys on matters related to alternative entity law, focusing on Delaware limited liability companies and limited partnerships.
  • Support corporate governance initiatives for clients in diverse industries.
  • Collaborate with team members in managing client relationships and executing complex transactions.
  • Participate in the firm's mentorship and professional development programs designed to support lateral associates.

Requirements:

  • 3-6 years of experience in mergers & acquisitions and corporate law, including transactions involving alternative entities.
  • Strong understanding of Delaware corporate law and governance issues.
  • Proven ability to handle complex legal matters in a fast-paced environment.
  • Excellent analytical, communication, and drafting skills.
  • Ability to work effectively in a collaborative, team-oriented environment.

Education:

  • J.D. from an accredited law school.

Certifications:

  • Admission to the Delaware Bar or eligibility for immediate admission to the Delaware Bar.
