A law firm seeks an experienced Corporate M&A Partner to join its growing team. The ideal candidate will have a minimum of 8 years of experience in handling complex mergers and acquisitions (M&A) transactions, including significant exposure to corporate governance matters. This position requires expertise in managing M&A deals from inception to closing, with the ability to lead due diligence teams and provide strategic guidance on high-level corporate matters. The role offers 100% remote work flexibility, a transparent compensation structure, and a merit-based, collaborative environment where partners retain a substantial portion of the revenue they generate.

Duties:

  • M&A Transaction Leadership:

    • Lead M&A deals from start to finish, ensuring smooth execution and positive client outcomes.
    • Manage and coordinate due diligence teams to assess risks and opportunities in transactions.
    • Draft, review, and negotiate key transaction documents, including purchase agreements, merger agreements, and confidentiality agreements.
  • Corporate Governance and Strategy:

    • Advise clients on corporate governance issues, entity formation, joint ventures, and licensing.
    • Provide strategic counsel on the structuring of transactions, credit agreements, and related financial matters.
  • Business Development and Client Management:

    • Cultivate and maintain a portable client base with annual revenue of at least $250,000.
    • Develop and execute business development strategies to drive client growth and enhance relationships.
    • Demonstrate leadership and mentorship within the team while collaborating effectively on complex corporate matters.

Requirements:

  • At least 8 years of experience in M&A transactions and corporate governance matters.
  • Prior experience in a top-tier law firm or an AmLaw 200 firm environment.
  • Proven ability to lead significant transactions, manage complex deals and deliver results for clients.
  • Must have a portable client base generating at least $250,000 annually or demonstrate a clear plan for client development.
  • Experience in advising on corporate governance issues and drafting key corporate transaction documents is essential.
  • Strong organizational and leadership skills, with the ability to manage multiple projects simultaneously.

Education:

  • Juris Doctor (JD) from an accredited law school.

Certifications:

  • Licensed and in good standing with the relevant state bar.

Skills:

  • Strong expertise in corporate M&A transactions, including entity formation, joint ventures, and strategic partnerships.
  • Proficient in drafting and negotiating complex corporate agreements, including stock purchase, asset purchase, and merger agreements.
  • Excellent communication and interpersonal skills, with the ability to interact effectively with clients, colleagues, and stakeholders.
  • Proven business development capabilities and the ability to build a portable client base.
  • Strong understanding of corporate governance, compliance issues, and legal frameworks surrounding M&A transactions.
  • Ability to thrive in a remote, flexible work environment while maintaining a high level of productivity.
