Job Overview:
A law firm is seeking a skilled Project Finance Associate with 3-6 years of significant transactional experience in debt project finance. The ideal candidate will have expertise in negotiating, preparing, reviewing credit agreements, collateral documents, intercreditor arrangements, and other ancillary credit documents. The position also requires experience in reviewing and conducting due diligence on key project agreements, such as offtake, EPC, supply contracts, and O&M services.

Duties:

  • Negotiate, prepare, and review credit agreements, collateral documents, and intercreditor arrangements.
  • Conduct due diligence on key project agreements including offtake, EPC, supply, and O&M contracts.
  • Assist in structuring, drafting, and negotiating ancillary credit documents.
  • Provide legal counsel on complex project finance transactions.
  • Collaborate with internal teams to facilitate project financing.
  • Manage and build relationships with clients throughout project finance transactions.
  • Work on large-scale projects across various sectors, including energy and infrastructure.

Requirements:

  • 3-6 years of transactional experience in debt project finance.
  • Strong knowledge of credit agreements, collateral documents, and intercreditor arrangements.
  • Proven experience in reviewing and conducting due diligence on key project agreements.
  • Ability to manage complex transactions and multi-task effectively.
  • Strong negotiation and drafting skills.
  • Ability to work independently and as part of a team.
  • Excellent communication and client relationship management skills.

Education:

  • Juris Doctor (J.D.) degree from an accredited law school.

Certifications:

  • Licensed to practice law in the relevant jurisdiction(s) (depending on office location).

Skills:

  • Expertise in negotiating and drafting project finance documents.
  • Strong analytical, organizational, and time-management skills.
  • Excellent verbal and written communication skills.
  • Ability to prioritize and manage multiple projects simultaneously.
  • Effective team collaboration and client interaction.
