Job Title: Mid-Level Life Sciences Corporate Associate Attorney

Job Overview:
A prominent law firm located in San Francisco, CA is seeking a mid-level associate to join its thriving Life Sciences Corporate team. The role centers on guiding emerging and established companies in the life sciences, technology, and healthcare sectors through a broad array of business transactions. The successful candidate will work with clients on matters spanning equity financing, mergers and acquisitions, IPOs, and corporate governance, with both domestic and international scope.

Duties:

  • Advise private and public companies on lifecycle corporate needs, from early-stage formation through liquidity events.

  • Lead or support complex transactions including venture financings, public offerings, and M&A.

  • Draft, review, and negotiate corporate agreements and disclosure documents.

  • Provide legal guidance on SEC reporting and compliance matters.

  • Collaborate with cross-functional legal and business teams.

  • Contribute to thought leadership and internal knowledge development in the life sciences sector.

Requirements:

  • 3-4 years of post-JD experience in corporate and transactional law.

  • Demonstrated experience with public company matters, including registered equity offerings and SEC compliance.

  • Hands-on involvement in mergers and acquisitions.

  • Previous work with life sciences clients is preferred but not required. A strong interest in the sector is essential.

  • Strong organizational and project management skills, with the ability to lead components of large transactions independently.

Education:

  • Juris Doctor (JD) from an accredited law school.

Certifications:

  • Admission to the California Bar, or ability to obtain admission in a timely manner.

Skills:

  • Exceptional legal drafting and analytical skills.

  • Clear, concise, and effective communication—both written and verbal.

  • Ability to manage multiple matters simultaneously in a fast-paced environment.

  • Proven ability to work collaboratively and build strong relationships with clients and colleagues.
