Mid-level Corporate Attorney

A law firm in Birmingham is seeking a Mid-level Corporate Attorney with 4-8 years of experience for its Corporate business unit. The successful candidate will be responsible for the preparation and negotiation of corporate and transactional documents, including entity formation and governance documents, operating documents, supply agreements, purchase agreements, compliance documents, and merger and acquisition documents. They will also represent clients in the negotiation of various business transactions, requiring strong interpersonal and communication skills. The ideal candidate should be detail-oriented, possess a solid work ethic, and thrive in a team environment. Strong academic credentials are essential.

Duties:

• Prepare and negotiate a variety of corporate and transactional documents, including entity formation and governance documents, operating agreements, supply agreements, purchase agreements, compliance documents, and merger and acquisition documents.
• Interact effectively with clients and represent them in negotiations for various business transactions.
• Ensure accuracy and attention to detail in all legal documents and transactions.
• Collaborate with colleagues and other stakeholders in a team-oriented environment.
• Provide legal advice and guidance to clients on corporate and transactional matters.
• Conduct legal research and analysis as needed to support client matters.
• Stay updated on relevant laws, regulations, and industry trends in corporate law.

Requirements:

• Juris Doctor (J.D.) degree from an accredited law school.
• Active license to practice law in the state of Alabama.
• 4-8 years of experience in corporate law, with a focus on transactional matters.
• Strong knowledge of corporate and transactional law principles and practices.
• Excellent negotiation skills and the ability to represent clients effectively in business transactions.
• Detail-oriented with a solid work ethic and ability to manage multiple tasks efficiently.
• Strong interpersonal and communication skills.
• Ability to work collaboratively in a team environment.
