Job Overview:

The Business and Real Estate Transactional Attorney will be responsible for advising clients on business and real estate matters, drafting legal documents, and ensuring compliance with relevant laws and regulations.

Duties:

  • Meet with prospective clients to gather information and design business plans or assess recommendations.
  • Draft and review operating agreements, bylaws, shareholders’ agreements, service level agreements, private placement memorandums, indemnity agreements, and other client contracts.
  • Draft leases, purchase and sale agreements, letters of intent, deeds, etc., for commercial real estate transactions.
  • Prepare, manage, and review mergers and acquisitions transactions, including due diligence and closing documents.
  • Review, manage, and prepare commercial lease agreements.
  • Organize and maintain case and client files according to company guidelines.
  • Follow engagement protocols, complete Client Intake Forms, and use the task management system to handle tasks, monitor inboxes, and respond to correspondence within matters.
  • Conduct client meetings, answer questions, and address concerns.
  • Respond to client phone calls and emails promptly.
  • Keep detailed notes of all meetings and phone calls, maintaining them inside the client file.
  • Attend weekly Attorney Meetings, Advanced Planning Meetings (if applicable), bi-weekly Business Planning Department Meetings, and monthly all-staff meetings.
  • Undertake other assigned projects.

Requirements:

  • Previous experience and knowledge of estate planning are preferred.
  • 2 years of experience as an attorney with business transactional experience.
  • Ability to problem-solve, resolve issues, and assist staff with arising problems.
  • Manage multiple tasks simultaneously with professionalism and client orientation.
  • Excellent organizational skills, attention to detail, and ability to prioritize work independently.
  • Excellent verbal and written communication skills for effective client interaction.
  • Skilled at meeting strict deadlines under time pressure.

Education and Certifications:

  • Licensed attorney by the California State Bar.
  • Additional ongoing courses and continuing education programs in the area of Business Law.
