Duties

• Advise on public and private securities transactions.
• Prepare registration statements for IPOs and secondary offerings.
• Handle mergers, proxy statements, and related filings.
• Ensure compliance with the 1934 Act and Investment Company Act.
• Lead smaller transactions and support large IPOs.

Requirements

• 7-10 years of securities experience.
• Admission to practice in the relevant state.
• Strong attention to detail and ability to meet tight deadlines.
• Experience in a fast-paced, team-oriented environment.

Education

• Juris Doctor (JD) degree.
