Job Overview: A prominent law firm is seeking a mid-level Private Funds Associate to join its fund formation and investment management team. This role offers an excellent opportunity to work on private equity, venture capital, and hedge fund management matters. The ideal candidate will be involved in forming and structuring investment funds and advising on regulatory compliance and investor negotiations. The position is available in Miami or Chicago with a hybrid work environment.

Location:

  • Chicago, IL

Duties:

  • Assist in the formation and structuring of general partner and management company entities

  • Provide legal counsel on fund formation and investment management matters

  • Draft and negotiate fund agreements and side letters

  • Support clients with regulatory compliance under Federal securities laws

  • Manage fundraising processes for private equity, venture capital, and hedge funds

  • Advise clients on day-to-day legal and operational issues

Requirements:

  • 4 to 6 years of experience in a large law firm setting

  • Experience in fund formation and investment adviser work

  • Strong academic background

  • Excellent written and verbal communication skills

  • Highly detail-oriented

  • Ability to manage multiple tasks in a fast-paced environment

Education:

  • Juris Doctor (JD) degree from an accredited law school

Certifications:

  • Admission to practice in the jurisdiction of application or eligibility for admission

Skills:

  • Strong understanding of Federal securities laws (e.g., '33 Act, '34 Act, Investment Company Act, and Investment Advisers Act)

  • Basic understanding of entity types from a tax perspective

  • Proficiency in drafting fund economics and legal agreements

  • Excellent analytical and problem-solving abilities

  • Strong interpersonal and client management skills
