Job Overview:
A prestigious law firm is seeking a mid-level associate to join its M&A and Private Equity Group, with a focus on special situations and hybrid capital. This opportunity involves working at the intersection of M&A/Private Equity, restructuring, and finance practices. The ideal candidate will have a strong interest and at least four years of experience in distressed M&A, preferred equity investments, and structured and restructuring transactions. This position offers the opportunity to work on complex, high-profile transactions while gaining exposure to a range of practice areas.

Location:

Duties:

  • Provide legal support in distressed M&A, preferred equity investments, and restructuring transactions
  • Advise clients on hybrid capital structures and special situations transactions
  • Draft and review transaction documents, including purchase agreements, financing agreements, and restructuring plans
  • Collaborate with colleagues across M&A, Private Equity, restructuring, and finance practices to manage complex deals
  • Conduct legal research and prepare memoranda on relevant issues related to distressed M&A and hybrid capital
  • Assist with client communication, including advising on legal strategy and managing expectations
  • Stay current on market trends and legal developments in M&A/PE, restructuring, and finance

Requirements:

  • At least four years of experience in M&A/Private Equity, with a focus on distressed transactions, hybrid capital, or special situations
  • Strong background in preferred equity investments, structured finance, or restructuring transactions
  • Proven ability to manage complex transactions and offer practical legal solutions
  • Exceptional written and verbal communication skills
  • Strong analytical and problem-solving abilities
  • Client-focused mindset with an ability to build strong relationships
  • Admission to practice in New York

Education:

  • Juris Doctor (JD) from an accredited law school

Certifications:

  • New York State Bar admission required

Skills:

  • In-depth knowledge of M&A/Private Equity and distressed M&A transactions
  • Familiarity with hybrid capital structures and special situations
  • Strong drafting, negotiation, and transactional skills
  • Ability to analyze and synthesize complex legal and business issues
  • Excellent research, writing, and presentation skills
  • Ability to work collaboratively across different practice areas
  • Strong client management and relationship-building skills
