Job Overview:
A law firm is seeking a highly skilled mid to senior-level Project Finance Associate Attorney with experience in finance, M&A, and/or the development of energy and infrastructure projects. The ideal candidate will have expertise in transactional law, particularly related to renewable, conventional power, and energy projects. This role offers the opportunity to join a growing sponsor-side energy and infrastructure team with significant potential for leadership and career growth.

Location:

  • Chicago, IL

Duties:

  • Provide legal support for large energy and infrastructure projects, including renewable and conventional power projects.
  • Draft and negotiate key transactional documents such as credit and security documentation, power purchase agreements, purchase and sale agreements, and merger documentation.
  • Lead closings for financings or acquisitions/dispositions in power, energy, and infrastructure sectors.
  • Work on project contracts, including drafting and negotiating power purchase agreements and related supply/offtake agreements.
  • Support projects in various industries, including wind, solar, natural gas, hydrogen, carbon capture, battery storage, renewable natural gas, and data centers.
  • Collaborate with senior attorneys to ensure successful structuring and negotiation of complex transactions.

Requirements:

  • 4-6 years of experience in project finance, M&A, or energy infrastructure law.
  • Expertise in drafting and negotiating project finance documents, including power purchase agreements and related contracts.
  • Experience in credit and security documentation, purchase and sale agreements, and merger documentation.
  • Proven ability to manage and run closings for financings or acquisitions/dispositions in energy, power, and infrastructure.
  • Exposure to a wide variety of energy projects, including traditional and emerging technologies such as wind, solar, hydrogen, carbon capture, battery storage, and data centers.
  • Strong ability to work collaboratively and manage multiple aspects of complex transactions.

Education:

  • Juris Doctor (JD) from an accredited law school.
  • Active membership in the state bar or eligible to practice in the relevant jurisdiction.

Certifications:

  • Bar License (Required)

  • Strong negotiation and communication skills.
  • Proven leadership capabilities in managing transactions.
  • Detail-oriented with strong organizational and multitasking skills.
  • Proficiency in drafting, negotiating, and managing energy and infrastructure project finance documents.
