Job Overview:
A well-established, full-service law firm based in New York is seeking a Senior Corporate & Securities Attorney to join its Corporate Practice Group. This role is ideal for a highly experienced legal professional with extensive exposure to M&A transactions, securities compliance, public and private offerings, and regulatory filings. The ideal candidate will advise a diverse portfolio of middle-market clients while handling complex corporate matters and regulatory compliance across industries. This hybrid role offers the opportunity to work in a collaborative, high-level environment with flexibility and growth potential.

Location:

  • New York, NY

Duties:

  • Manage and advise on mergers and acquisitions for public and private entities

  • Draft and negotiate documentation for public and private equity transactions

  • Prepare and file SEC, FINRA, and NASDAQ regulatory documents, including:

    • Registration statements

    • Annual and quarterly reports (Forms 10-K, 10-Q)

    • Proxy statements

  • Counsel clients on corporate governance and regulatory compliance

  • Advise startups and middle-market companies on capital structure and growth strategy

  • Oversee legal aspects of bank lending transactions

  • Handle day-to-day legal matters for a range of corporate clients

  • Collaborate with colleagues across practice areas for comprehensive client solutions

Requirements:

  • 7–10 years of corporate and securities law experience

  • Extensive M&A transaction experience for both private and public companies

  • Proficiency with SEC, FINRA, and NASDAQ regulations and filings

  • Experience in handling public and private equity offerings

  • Working knowledge of bank financing documentation

  • Ability to handle complex legal and business matters independently

  • Bankruptcy and tax experience are beneficial but not required

  • Excellent oral and written communication skills

  • Portable book of business is a plus, but not required

Education:

  • Juris Doctor (JD) from an accredited law school

Certifications:

  • Admission to the New York State Bar (required)

Skills:

  • Corporate governance and compliance

  • Securities regulation and filings

  • M&A transactional expertise

  • Contract drafting and negotiation

  • Strategic legal advisory for business operations

  • Strong analytical and problem-solving skills
