Job Overview

A law firm seeks an Executive Compensation, Benefits, and ERISA Senior Associate or Of Counsel in New York City, NY. The ideal candidate will have over seven years of experience in executive compensation, employee benefits, and ERISA, particularly in M&A, private equity, and restructuring transactions.

Duties

  • Conduct diligence review and negotiate transaction agreements.
  • Advise on IRC 280G and executive compensation/equity plans.
  • Work with SEC's compensation disclosure rules for U.S. publicly listed companies.
  • Engage in transactional work with tax-qualified retirement and welfare plans.
  • Handle general employment matters.

Requirements

  • Over seven years of relevant experience.
  • Outstanding academic credentials.
  • Admitted to practice and in good standing in the applicable jurisdiction.

Education

  • Juris Doctor (JD) degree.

Certifications

  • Bar admission in the relevant jurisdiction.

Skills

  • Strong negotiation and analytical skills.
  • Proficiency in executive compensation and equity plans.
  • Experience with SEC compensation disclosure rules.
