Job Overview

A law firm seeks an experienced and highly skilled Commercial Finance Attorney to join its expanding finance practice group. This role focuses on representing both borrowers and lenders in a diverse range of financing arrangements, from acquisition loans to complex syndicated credit facilities.

The firm offers the opportunity to work in a collaborative, collegial environment alongside top attorneys who handle sophisticated financial transactions at the regional, national, and global levels. This position is ideal for a detail-oriented attorney with strong transactional experience and a passion for solving complex financing challenges for a wide variety of clients.

Duties

  • Advise clients on the structuring, negotiation, and execution of various lending and financing transactions.
  • Represent lenders and borrowers in acquisition financings, syndicated loans, asset-based lending, and cash flow credit facilities.
  • Draft and review a full range of financing documents, including loan agreements, promissory notes, security agreements, and intercreditor agreements.
  • Collaborate with other practice areas, such as mergers and acquisitions, corporate governance, and private equity, to support comprehensive client representation.
  • Manage multiple financing transactions concurrently, ensuring deadlines and client expectations are met.
  • Conduct legal research to ensure compliance with applicable state and federal financial regulations.
  • Advise clients on risk management strategies related to their financing arrangements.
  • Participate in negotiations with counterparties, ensuring clients’ business goals are aligned with the legal documentation and overall transaction structure.
  • Provide mentorship and guidance to junior attorneys and legal support staff.

Requirements

  • Minimum of 6 years of relevant law firm experience working in commercial finance or banking law.
  • Demonstrated ability to work independently and manage multiple complex transactions simultaneously.
  • Experience representing both lenders and borrowers in financing deals.
  • Strong drafting and negotiation skills, with attention to both legal and business details.
  • Ability to collaborate effectively with clients and internal teams across practice areas.

Education

  • Juris Doctor (JD) degree from an accredited law school.

Certifications

  • Admission to the North Carolina Bar preferred (or willingness to obtain admission within a reasonable timeframe).

Skills

  • Exceptional writing, analytical, and oral communication abilities.
  • Strong understanding of commercial lending structures, including syndicated and mezzanine financing.
  • Ability to synthesize complex financial concepts into practical advice for clients.
  • Detail-oriented with excellent organizational and project management capabilities.
  • Comfortable working in a fast-paced environment with shifting priorities.
  • Proficient in using legal research tools and document management software.
