Job Overview

A leading national law firm is seeking a Tax Associate with a minimum of 5 years of experience to join its growing tax practice. This position offers the opportunity to work with high-growth technology and life sciences clients across all stages of development, providing counsel on a range of domestic and international tax issues. The role also includes collaboration across departments, enabling exposure to corporate finance, licensing, capital markets, and mergers and acquisitions.

Duties

  • Advise on all areas of federal, state, and international tax law

  • Provide tax structuring and planning for M&A transactions, capital markets, and corporate finance

  • Support clients in equity financings, technology transfers, and licensing deals

  • Collaborate across corporate, IP, and regulatory teams to develop holistic legal solutions

  • Counsel clients on both domestic and cross-border tax matters

  • Draft and negotiate tax-related provisions in transactional documents

  • Analyze legal developments and provide updates to internal teams and clients

Requirements

  • 5+ years of tax experience in a law firm or comparable professional setting

  • Strong background in mergers and acquisitions, capital markets, and corporate finance

  • Experience advising on complex equity financings and licensing transactions

  • Ability to manage multiple projects under tight deadlines in a fast-paced environment

  • Demonstrated success in client communication and cross-functional collaboration

Education

  • Juris Doctor (JD) from an accredited law school

  • LLM in Taxation preferred but not required

Certifications

  • Active license to practice law in one of the listed jurisdictions or eligibility for admission

Skills

  • Strong legal research and analytical abilities
