Corporate Associate Attorney

A law firm is seeking a Corporate Associate Attorney for its Denver, CO, location.

Job Overview:

The Corporate Associate Attorney will represent venture capital funds and emerging technology, consumer product, and life science companies in debt and equity financings, M&A transactions, outside general counsel, general corporate counseling, and related practices.

Duties:

• Provide legal counsel to clients on corporate matters, including financings, acquisitions, and day-to-day governance matters.
• Draft and review legal documents such as agreements, contracts, and corporate governance documents.
• Conduct legal research and analysis on various corporate issues.
• Participate in negotiations with clients and other parties involved in transactions.

Requirements:

• Bachelor's degree in Law (J.D.) from an accredited institution.
• Admission to the Colorado State Bar or eligibility to waive in.
• 2-6 years of experience working at a top-tier law firm with corporate experience.
• Experience focusing on emerging growth companies, venture capital funds, and/or private equity funds in financings, acquisitions, and governance matters.

Education:

• Juris Doctor (J.D.) from an accredited law school.

Certifications:

• Admission to the Colorado State Bar.

• Excellent verbal and written communication skills.

• Ability to work independently and as part of a team.
• Attention to detail and strong organizational skills.
