Job Overview:
A law firm is seeking a mid-senior level Finance Associate to join its team. The ideal candidate will have experience representing lenders (such as investment and commercial banks, business development companies, or other debt financing providers) and/or borrowers (including private equity sponsors) in complex finance transactions, including acquisitions, buyouts, restructurings, special situations, and other corporate finance matters. 

Location:

  • Palo Alto, CA

Duties:

  • Represent lenders and borrowers in sophisticated financing transactions, including acquisitions, buyouts, restructurings, and special situations.

  • Draft, negotiate, and review financing agreements and related legal documents.

  • Provide strategic legal advice on corporate finance matters.

  • Work closely with senior attorneys and clients to manage and execute transactions.

  • Maintain strong client relationships and manage multiple priorities in a fast-paced environment.

Requirements:

  • Mid-senior level experience in sponsor or lender-side finance.

  • Experience at a peer firm representing lenders or borrowers in corporate finance transactions.

  • Strong understanding of debt financing, acquisitions, buyouts, restructurings, and special situations.

  • Proven ability to draft and negotiate complex financing documents.

  • Excellent communication, problem-solving, and client management skills.

Education:

  • Juris Doctor (J.D.) from an accredited law school.

Certifications:

  • Admission to the relevant state bar.

Skills:

  • Expertise in corporate finance and debt transactions.

  • Strong drafting, negotiation, and legal research skills.

  • Excellent interpersonal and client-facing communication skills.

  • Ability to manage complex legal matters and provide strategic advice.

  • Strong analytical and organizational skills.
