Job Overview:

A leading Pacific Northwest regional law firm is seeking an experienced Corporate Associate Attorney to join its Seattle office. This is a full-time position within a dynamic and collaborative legal environment supporting a diverse range of business clients across several core industries. The firm values innovation, client service, and cross-office teamwork and offers a structured hybrid work model.

Location:

  • Seattle, Washington

Duties:

  • Support corporate legal work including:

    • Entity formation (LLCs, partnerships, joint ventures)

    • Mergers & Acquisitions (M&A)

    • Debt and equity financings

    • Securities compliance and private placements

    • Commercial contracts and credit agreements

    • Due diligence and related corporate transactional tasks

  • Manage complex transactions, draft client-ready documents, and coordinate with cross-office legal teams

  • Engage with clients across multiple industries and practice groups

Requirements:

  • Minimum 5 years of corporate legal experience

  • Experience with private company representation, commercial transactions, and M&A

  • Proven ability to independently handle complex corporate matters

  • Strong understanding of transaction management from start to finish

  • Demonstrated client service excellence and entrepreneurial mindset

  • Admission to the Washington State Bar or eligibility for reciprocity

Education:

  • Juris Doctor (J.D.) from an ABA-accredited law school

Certifications:

  • Active bar license in Washington State or qualified for reciprocity

Skills:

  • Excellent legal research, writing, and analytical skills

  • Strong interpersonal and communication abilities

  • Comfortable engaging directly with clients and managing client portfolios

  • Capability to work collaboratively across legal teams and practice groups

  • Industry experience in one or more sectors such as:

    • Technology

    • Healthcare & Life Sciences

    • Consumer Products

    • Natural Resources

    • Real Estate & Construction

    • Ports & Maritime

    • Tribal and Alaska Native Corporations (preferred)
