Job Title: Registered Funds Associate Attorney

Job Overview:
A prominent law firm based in Boston, MA, is seeking a mid-level associate attorney with specialized experience in matters involving registered investment companies. This opportunity offers a chance to join a highly regarded practice representing a diverse array of asset managers and investment firms, from emerging ventures to large-scale global institutions. The team provides sophisticated guidance on regulatory and compliance matters, with a longstanding reputation for leadership and innovation in the financial services legal sector.

Duties:

  • Advise on the structuring, registration, and compliance obligations of investment products governed by federal securities laws

  • Draft and review offering documents, board materials, and regulatory filings related to mutual funds, ETFs, BDCs, and other registered products

  • Analyze and interpret the Investment Company Act of 1940 and the Investment Advisers Act of 1940

  • Provide strategic counsel to clients on regulatory developments affecting investment vehicles and financial markets

  • Support transactions and product development initiatives across a range of fund types

  • Collaborate with interdisciplinary teams, including tax, ERISA, and litigation colleagues as needed

Requirements:

  • 3-6 years of experience working on legal matters related to registered funds and investment management

  • Strong working knowledge of the Investment Company Act and the Investment Advisers Act

  • Background in representing or advising investment advisers, business development companies, or variable insurance products is highly advantageous

  • Prior work with exchange-traded funds and commodities-related regulatory matters considered a plus

  • Experience gained in a large law firm, financial institution, or government/regulatory agency preferred

Education:

  • Juris Doctor (J.D.) from an accredited law school

Certifications:

  • Admission to practice in at least one U.S. jurisdiction; Massachusetts Bar admission or eligibility to waive in preferred

Skills:

  • Demonstrated ability to manage complex regulatory issues with precision and sound judgment

  • Strong legal research and drafting skills

  • Ability to work efficiently both independently and within team-oriented environments

  • Excellent verbal and written communication skills

  • Familiarity with evolving trends in investment regulation and fund governance
