Job Overview

A globally recognized law firm is seeking a mid-level Associate Attorney with experience in debt finance to join its Americas Banking practice. This is a high-impact opportunity for professionals looking to advance their legal careers in a cross-border transactional environment. The role involves representing top-tier financial institutions, corporates, and funds in complex domestic and international financing matters.

Location

Duties

  • Draft, review, and negotiate loan agreements, term sheets, commitment letters, and related documentation

  • Manage deal teams through all stages of the financing lifecycle, from structuring to post-closing

  • Conduct legal research and due diligence reviews

  • Serve as the primary point of contact for clients, opposing counsel, and transaction parties

  • Prepare issues lists and track deal-related deliverables

  • Support senior attorneys with client counseling and daily legal services

  • Address post-closing deal administration needs (joinders, amendments, collateral issues)

  • Deliver educational presentations and participate in professional development activities

  • Mentor junior associates and contribute to firm-wide training initiatives

Requirements

  • At least 4 years of experience in debt finance law

  • Familiarity with sponsored finance, syndicated lending, borrower-side leveraged finance, direct lending, or private credit transactions

  • Prior fund finance experience is a plus

  • Proven ability to manage multiple complex transactions simultaneously

  • Commercial awareness and sound legal judgment under pressure

  • Bar admission and good standing in at least one U.S. jurisdiction

Education

  • Juris Doctor (JD) degree from an accredited U.S. law school

  • LLM or equivalent foreign degree accepted

Certifications

  • Admission to a U.S. State Bar (in good standing)

  • Eligibility for bar admission in New York, Massachusetts, Florida, or California depending on office location

Skills
