Special Counsel in M&A

Job Overview

A law firm seeks an experienced attorney to join its Corporate & Securities group in New York, NY, as Special Counsel in the M&A and Private Equity practice. This position is ideal for candidates with significant transactional experience, offering meaningful client responsibility and the opportunity to lead complex matters.

Duties

• Advise corporate clients and private equity sponsors on acquisitions, dispositions, joint ventures, and minority investments.
• Manage deals from term sheet to close, including drafting and negotiating core transaction documents.
• Contribute to business development efforts within the group.

Requirements

• Minimum of 8 years of transactional experience, with at least 5 years focused on M&A and private equity transactions.
• Ability to independently manage complex transactions with sound judgment.
• Strong knowledge of corporate law and prevailing market terms.
• Entrepreneurial mindset and client-service orientation.
• Excellent written and oral communication skills.

Education

• JD from an ABA-accredited U.S. law school.

Certifications

• Admission to and good standing with the New York Bar.
