Securities Associate

Job Overview

A law firm seeks a full-time junior to mid-level associate for its capital market team in Vienna, VA. The team guides issuers, underwriters, and sponsor clients through the US IPO and listing process, advising both domestic and overseas companies on IPOs and ongoing securities law compliance.

Duties

• Perform legal due diligence review on private and public companies.
• Prepare FINRA filings.
• Draft registration statements and respond to SEC comments.
• Prepare Nasdaq applications and respond to Nasdaq comments.
• Draft and review offering-related documents.

Requirements

• JD degree from a reputable accredited law school.
• Licensed to practice law and in good standing with the New York, DC, or Virginia bar.
• Must have legal right to work in the U.S.
• Excellent verbal and written communication skills.
• Knowledge of registered securities offerings, PIPEs, SEC regulations, '33 Act and '34 Act, mergers & acquisitions, and general corporate law.

Education

• JD degree from an accredited law school.

Certifications

• Licensed to practice law in New York, DC, or Virginia.
