Attorney/Senior Associate - Private Equity and M&A

Job Overview

A law firm seeks an experienced Attorney/Senior Associate in San Francisco, CA to represent public and private clients in complex legal transactions. The role involves handling private equity deals, mergers and acquisitions, joint ventures, divestitures, and other strategic corporate transactions across U.S. and Latin American jurisdictions.

Duties

• Lead a deal team through the transaction lifecycle from sourcing to closing.
• Execute complex legal transactions, including private equity and M&A deals.
• Draft and review primary deal documents such as purchase and joint venture agreements.
• Coordinate cross-border transactions involving large corporate clients.
• Travel domestically and internationally at least 20% of the time.

Requirements

• Minimum of five years of legal experience in cross-border M&A and structured transactions.
• At least two years of experience leading a deal team.
• Experience with large corporate clients in U.S. and Latin American jurisdictions.

Education

• U.S. law degree (JD or LLM).

Certifications

• California Bar Membership.

Skills

• Strong leadership and coordination abilities.
• Proficiency in drafting complex legal documents.
• Excellent communication and negotiation skills.
