Corporate Associate Attorney

St. Louis office of a BCG Attorney Search Top Ranked Law Firm seeks a corporate associate attorney with 3+ years of experience negotiating and drafting primary and ancillary documents for mergers, acquisitions, divestitures, joint ventures, credit facilities, and other corporate transactions. The candidate should have a broad knowledge and deep understanding of general corporate law, as well as tax and accounting principles. Experience participating in due diligence for both targets and acquirers, transaction and entity structuring, and related tax matters essential. Experience representing issuers in private placements of equity securities and underwriters in securities offerings, securities reporting compliance, and representing borrowers in the procurement of senior and mezzanine credit facilities needed. Missouri law license required. CPA, accounting, and/or finance background is strongly preferred.

The candidate should have superior written and verbal communication skills. Excellent analytical/problem-solving skills and attention to detail needed. Outstanding organizational and time management skills with the ability to meet deadlines in a fast-paced environment essential.
