Job Overview

A law firm seeks a Corporate Counsel in Dallas, TX. The role involves advising private equity funds and public and private companies on domestic and cross-border mergers and acquisitions, divestitures, financings, joint ventures, investments, corporate reorganizations, and capital market transactions involving U.S. and Canadian law. The position allows for two days of remote work per week within the Dallas metro area.

Duties

• Advise on domestic and cross-border mergers and acquisitions.
• Represent clients in structuring and negotiating corporate transactions.
• Draft and review corporate transaction documents.
• Evaluate and formulate business and legal strategies.

Requirements

• J.D., LL.M., or equivalent.
• Three years of experience as an international transactional lawyer or related field.
• Experience with Canadian-U.S. mergers and acquisitions and related corporate matters.
• License to practice law in the U.S.

Education

• J.D., LL.M., or equivalent degree.

Certifications

• License to practice law in the U.S.

Skills

• Strong negotiation and drafting skills.
• Ability to advise on complex corporate transactions.
• Proficiency in U.S. and Canadian regulations.
