Job Overview:

Duties:

  • Advise clients on corporate governance, mergers and acquisitions (M&A), securities, and finance matters
  • Draft, review, and negotiate transactional documents, including contracts and agreements
  • Assist clients with fund formation and finance-related transactions
  • Guide clients on securities compliance, public offerings, private placements, and related regulations
  • Conduct in-depth legal research and provide strategic legal analysis
  • Collaborate with senior attorneys on complex transactions and provide business-oriented legal solutions
  • Represent clients in negotiations, due diligence, and closings

Requirements:

  • 3+ years of experience in corporate law, mergers and acquisitions (M&A), fund formation, finance, or securities
  • Strong knowledge of corporate and securities regulations
  • Proven experience drafting and negotiating transactional documents
  • Excellent written and verbal communication skills
  • Strong academic credentials
  • Ability to manage multiple priorities and meet deadlines
  • Applicable bar admission in one of the specified jurisdictions

Education:

  • Juris Doctor (JD) from an accredited law school

Certifications:

  • Admission to practice law in Texas

Skills:

  • Expertise in corporate law, M&A, fund formation, finance, and securities
  • Strong drafting and legal research skills
  • Excellent negotiation and communication abilities
  • Ability to handle complex legal transactions and provide clear, actionable advice
