Job Overview:

A respected law firm is seeking a Derivative Litigation Associate with 3–5 years of experience in Delaware corporate litigation, particularly in breach of fiduciary duty matters. The ideal candidate will demonstrate exceptional legal research and writing skills and have a strong understanding of Delaware corporate law and governance. 

Location:

  • New York, NY

Duties:

  • Conduct legal research and draft memoranda, motions, pleadings, and briefs related to Delaware corporate and derivative litigation

  • Analyze complex corporate governance issues, including fiduciary duties and shareholder rights under Delaware law

  • Collaborate with senior attorneys on case strategy, discovery planning, and trial preparation

  • Draft litigation documents including complaints, discovery requests, and discovery responses

  • Represent clients throughout all phases of litigation, including depositions, hearings, and negotiations

  • Stay informed of updates and developments in Delaware corporate and fiduciary law

Requirements:

  • 3–5 years of experience in Delaware corporate litigation, with a strong focus on breach of fiduciary duty cases

  • Admission to at least one U.S. state bar

  • Delaware bar admission is strongly preferred

Education:

  • Juris Doctor (JD) from an accredited law school

  • Strong academic credentials preferred

Certifications:

  • Active bar membership in good standing

  • Delaware bar preferred, but not mandatory

Skills:

  • Outstanding legal research and analytical capabilities

  • Superior legal writing and drafting skills

  • Ability to manage complex litigation matters and multiple priorities simultaneously

  • Strong attention to detail and persuasive communication style

  • Familiarity with Delaware Court of Chancery rules and procedures (preferred)

  • Experience drafting dispositive motions in Delaware courts (preferred)

  • Capable of working independently and as part of a litigation team
